Corporate Finance Director

Job Description : Corporate Finance Director. UAE a semi government organisation which is still in its infancy. Due to aggressive growth plans, this new ‘hands-on’ position has been created to handle all M&A related analysis, reporting and presentations to the Board. Salary: AED 55-60k + schooling + bonus + family benefits Responsibilities · Reporting to the CFO, developing the overall funding strategy including optimisation of the capital structure, developing pipeline of projects, and managing the due diligence process, modelling and presentation for Board and Shareholders · Support the CFO with maintaining and updating financial models · Build relationships within the company and with external parties, including all existing and potential partners and other relevant stakeholders · Manage relationship with the Shareholders, including responsibility for reporting requirements and cash calls drawdowns · Oversee grant and subsidy programs, support with contract negotiation, oversee implementation and monitoring · Working closely with the Finance team to track and effectively manage cash needs and use of cash across the business · Review and negotiate legal documents such as NDAs, term sheets, loan agreements with input from relevant stakeholders · Manage and develop more junior staff members within the finance team. · Support CFO on all M&A activities · Other ad hoc projects relating to corporate finance and company structure/administration. Requirements · Minimum of 15 years of relevant M&A / Corporate Finance experience, with 8 years in a managerial position · Specific experience in major consulting firm: Director level in the Big 4 M&A division, and/or capital raising, either as an investor, advisor or within a company. · Familiarity with due diligence processes, setting up and managing data rooms, answering investor questions, as well as experience negotiating term sheets and other legal documents (loan agreements, SPA, etc) · Significant financial modelling experience and ability to build and maintain a multi-products, multi companies financial models, and ability to model and forecast complex projects · Highly polished & professional, expert in presenting to Board level · Prepared to be ‘hands on’ until the team develops further
