Job Description : Head of Corporate Finance & M&A Director Real Estate Development plc Dubai based Reporting to Group CFO / CEO / Investment Committee Direct Reports: Finance Managers, Investment Analysts, M&A Team --- RSR are partnering with a Publicly Listed Real Estate Developer who are seeking an Experienced Corporate Finance & M&A Director. We are seeking a strategic and execution-focused Corporate Finance & M&A leader to drive capital raising, joint ventures (JVs), acquisitions, and divestments for a high-growth real estate development platform across the GCC. This role will spearhead complex transactions (USD 100M+), optimize capital structure, and lead investor/partner negotiations to accelerate the pipeline of mega-projects (hospitality, mixed-use and urban communities). --- Key Responsibilities 1. M&A & Joint Ventures - Lead end-to-end acquisitions, disposals, and JV’s for land banks, development projects, and operating assets. - Structure off-market deals with sovereign wealth funds (SWFs), family offices, and institutional investors. - Oversee financial due diligence, valuation (DCF, IRR, NAV), and risk-sharing negotiations. 2. Capital Raising & Investor Relations - Secure debt (project finance, syndications, Islamic facilities) and equity (PIPEs, co-investments) for development pipelines. - Develop relationships with banks, PE firms, SWFs, and ultra-HNWIs across GCC/EU/Asia. - Prepare investment teasers, IM’s, and board papers to align stakeholders. 3. Financial Strategy & Value Creation - Optimize capital stack(leveraged vs. unlevered returns, mezzanine financing). - Advise CFO/CEO on IPO readiness, REIT spin-offs, or strategic exits. - Monitor macro risks (interest rates, FX, regulatory shifts) impacting GCC real estate. --- Candidate Profile - 12+ years in corporate finance, M&A, or investment banking, with 5+ years focused on GCC & International real estate. - Proven track record of closing USD 100M+ transactions (development JVs, asset acquisitions, or portfolio sales). - Deep network with GCC investors, banks, and sovereign entities. - Expertise in project finance, Islamic structures (Mudaraba, Sukuk), and tax-efficient deal frameworks. Ability to speak Arabic a distinct advantage. Qualifications - MBA or CFA preferred. - Big 4 transaction advisory, bulge-bracket IB, or top-tier real estate PE experience highly valued.
