Job Description : Director, Corporate Governance & Acquisition Malaysia Job Reference: M9669 Responsible for maintaining high standards of corporate governance and investor relation, you will lead the interaction between shareholders, board of directors, management and other stakeholders. Responsible for maintaining high standards of corporate governance in order to facilitate quality discussions and effective decisions by corporate bodies. Hence, strengthening confidence among shareholders and investors to contribute value creation. Areas of responsibility includes (but not limited) the following: Implementation and reporting on Corporate Governance Company’s Equity & Dividend Policy Company’s Tax approach Equitable treatment of shareholders and transactions with associates General Meetings & Shareholders Dialogue Shares and negotiability Nomination committee Risk Management & Internal Control Guidelines for Board of Directors Remuneration Take-overs and Business Acquisition Audit & Supervisory Board Requirements: At least 15 years of corporate governance experience with an international oil & gas firm Minimum qualific ation: Degree from a recognized university At least 20 years of experience in similar scope of work At least 8 years in senior management capacity (Senior Manager and above) Exposure to international corporate governance practice is necessary Candidates with experience working with major offshore asset owners will be advantage
