Company Secretary

Job Description : Company Secretary & legal- Chemicals/ Speciality Chemicals Organisation Mumbai. Key Responsibilities Secretarial & Corporate Governance Ensure compliance with the Companies Act, 2013, Secretarial Standards, & applicable corporate laws. Organize Board Meetings, Committee Meetings & Annual General Meetings. Prepare agendas, notices, Board papers, minutes & resolutions. Maintain all statutory registers & corporate records. Handle ROC filings, MCA Compliances & statutory reporting. Manage incorporation, alteration of capital, share allotments & other corporate actions. Legal & Compliance Monitor all statutory and regulatory compliances. Coordinate with legal counsel on litigation, agreements & corporate matters. Ensure timely filing of statutory returns & disclosures. Drive compliance across manufacturing locations. Develop compliance dashboards & governance reports. Board & Management Support Advise the Board on governance and regulatory matters. Support Directors in fulfilling their fiduciary responsibilities. Coordinate Board evaluations and governance initiatives. Ensure effective implementation of Board decisions. Corporate Affairs Liaise with Government Authorities, ROC, MCA & other regulatory bodies. Coordinate with Statutory Auditors, Secretarial Auditors & Internal Auditors. Support due diligence, mergers & acquisitions, restructuring, and strategic projects. Risk & Ethics Strengthen the corporate governance framework. Monitor compliance risks across the organization. Support whistleblower, code of conduct & ethics programs. Qualification & Experience Member of the Institute of Company Secretaries of India (ICSI). LLB preferred. Additional qualification in Corporate Law or Compliance Management will be an advantage. About 15–20 years of experience as a Company Secretary in a large Manufacturing, Chemical, Specialty Chemical, Pharmaceutical, or Process Industry organization. Strong exposure to Board Management, Corporate Governance & Legal Compliance. Experience in handling multi-location manufacturing Organizations.
